By submitting a contact form on our Website, engaging our Services, or entering into a written scope agreement with Lattice Hollow, you agree to be bound by these Terms and Conditions. Use of the Website also constitutes acceptance of these terms. If you do not agree, please discontinue use of the Website and do not engage our Services.

Our Services are intended for business professionals and organisations. We require that individuals engaging or representing an organisation in engaging our Services are at least 18 years of age and have the authority to enter into binding commitments on behalf of that organisation.

Lattice Hollow provides lean and continuous improvement consulting services to operations teams and improvement leads. The three principal service formats are:

Services are provided from Singapore. Remote delivery is available for some service formats as agreed in the scope confirmation.

4. Scope of Engagement

The specific scope, deliverables, and any special arrangements for each engagement are agreed in writing before work begins. Lattice Hollow will not commence work until a scope confirmation has been exchanged. Any modifications to scope after commencement require written agreement from both parties.

6. Intellectual Property

Written outputs produced during an engagement (summaries, one-pagers, call notes) become the property of the Client upon payment of the relevant fee. The methods, frameworks, and facilitation approaches used by Lattice Hollow remain the intellectual property of Lattice Hollow. The Client is granted a non-exclusive licence to use the written outputs for internal business purposes. Redistribution or commercial use of outputs requires prior written consent from Lattice Hollow.

All content on the Lattice Hollow Website, including text, design, and structure, is owned by or licensed to Lattice Hollow. You may not reproduce or distribute Website content without written permission.

7. Payment Terms

Fees for each service are as follows (all prices in Singapore dollars, inclusive of GST where applicable at the prevailing rate):

Payment is due within 14 days of invoice. For monthly Sounding-Board arrangements, invoices are issued at the start of each calendar month. Lattice Hollow reserves the right to pause or discontinue Services in the event of overdue payment. Fees are non-refundable once work has commenced unless otherwise agreed in writing.

8. Confidentiality

Lattice Hollow treats all client-shared materials, internal information, and engagement discussions as confidential. We will not disclose client information to third parties without the Client's prior written consent, except as required by law. This obligation survives the termination of any engagement.

The Client similarly agrees not to disclose any proprietary methods or non-public information shared by Lattice Hollow during the course of an engagement to third parties without prior written consent.

9. Disclaimers

Services are provided on a professional advisory basis. Lattice Hollow does not warrant specific operational outcomes from any engagement. The written outputs provided are based on observations and structured facilitation and are intended to inform the Client's own decision-making — they are not directions or instructions. The Client retains full responsibility for decisions made in connection with their operations.

The Website and its contents are provided "as is". Lattice Hollow makes no representations about the accuracy or completeness of Website content.

10. Limitation of Liability

To the fullest extent permitted by Singapore law, Lattice Hollow's liability in connection with any engagement shall not exceed the total fees paid by the Client for that specific engagement. Lattice Hollow shall not be liable for indirect, consequential, or incidental losses arising from any engagement or use of the Website.

11. Indemnification

The Client agrees to indemnify and hold harmless Lattice Hollow from any claims, losses, or liabilities arising from the Client's misuse of engagement outputs, breach of these Terms, or any actions taken on the basis of advisory content provided by Lattice Hollow.

12. Termination

Either party may terminate an engagement by providing written notice. For the Sounding-Board arrangement, notice of at least 14 days is requested before the next billing date. For Stocktake and Workshop engagements, termination after commencement may result in partial fees being payable for work completed to that point. Lattice Hollow may terminate an engagement immediately in the event of material breach by the Client.

13. Dispute Resolution

These Terms and any disputes arising from them are governed by the laws of Singapore. The parties agree to first attempt to resolve any dispute informally by written communication. If informal resolution is not reached within 30 days, disputes shall be referred to mediation under the Singapore Mediation Centre's rules before any legal proceedings are initiated. The courts of Singapore shall have exclusive jurisdiction over any unresolved disputes.

14. General Provisions

These Terms and any written scope confirmation constitute the entire agreement between the parties for each engagement. If any provision is found unenforceable, it will be modified to the minimum extent necessary; the remaining provisions continue in full effect. Failure to enforce any provision does not constitute a waiver. Lattice Hollow may assign its obligations under these Terms with written notice to the Client.

15. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on the Website with a revised effective date. Continued engagement of our Services after updates are posted constitutes acceptance of the revised Terms.
